DOCBRIDGE CONSUMER AGREEMENT

PLEASE READ CAREFULLY.

This Consumer Agreement (“Agreement”) is a legally binding contract between you (“you,” “Consumer,” or “User”) and DocBridge, Inc. (“DocBridge,” “we,” “us,” or “our”). By accessing or using the DocBridge website, applications, or services (collectively, the “Platform”), you agree to this Agreement. If you do not agree, do not use the Platform.

1. Role of DocBridge (Marketplace Only)

DocBridge is a technology marketplace platform that facilitates connections between consumers and independent healthcare providers who offer subscription-based medical services.

DocBridge:

 Does not provide medical care, medical advice, diagnosis, or treatment;

 Does not employ, supervise, or control healthcare providers;

 Is not an insurer, health plan, or healthcare provider.

All medical services are provided solely by the independent providers you choose, under a separate provider–patient agreement between you and the provider.

2. No Medical Advice or Provider–Patient Relationship

Information made available on the Platform is provided for general informational purposes only and does not constitute medical advice.

Nothing on the Platform:

 Creates a physician–patient relationship between you and DocBridge;

 Replaces consultation with a licensed healthcare professional;

 Should be relied upon for medical decision-making.

Always seek advice directly from a qualified healthcare provider regarding any medical condition.

3. Independent Providers

Providers listed on the Platform are independent contractors, not employees or agents of DocBridge. Providers:

 Determine their own services, pricing, and clinical decisions;

 Are solely responsible for medical care, licensing, compliance, and malpractice coverage.

DocBridge does not endorse, guarantee, or warrant any provider or outcome.

4. Eligibility & User Responsibilities

By using the Platform, you represent that:

 You are at least 18 years old and legally able to enter into this Agreement;

 You will provide accurate and complete information;

 You will use the Platform only for lawful purposes.

You are responsible for evaluating providers and determining whether a provider’s services are appropriate for you.

5. Subscriptions, Fees, and Payments

Certain services offered through the Platform require payment of subscription fees. By purchasing a subscription, you authorize DocBridge (or its third-party payment processor) to charge your selected payment method for applicable fees in accordance with this Agreement. All prices and billing terms are disclosed at checkout.

6. Automatic Subscription Renewals

Automatic Renewal Authorization

Unless you cancel before the end of your current billing period, your subscription will automatically renew for successive periods of the same duration (e.g., monthly or annually). You authorize DocBridge (or its payment processor) to automatically charge your payment method for each renewal period without further approval, unless you cancel.

How to Cancel

You may cancel auto-renewal at any time through your account settings or by contacting support, provided cancellation occurs at least [X] days before the next billing date.

After cancellation:

 Your subscription remains active until the end of the current paid period;

 No future renewal charges will occur.

7. Provider Exit, Unavailability & Refunds

Provider Unavailability

If a provider becomes unavailable or ceases offering services through the Platform, DocBridge will:

 Notify affected consumers within a reasonable timeframe; and

 Suspend future subscription charges for that provider effective as of the provider’s last date of availability.

Refund Policy for Provider Exit

If a provider exits the Platform or is otherwise unable to provide services:

 You will receive a prorated refund for any prepaid period during which services were unavailable; or

 At your election, a credit may be applied toward a different provider listed on the Platform.

Refunds will be processed within [10–14] business days.

General Refund Policy

Except as expressly stated above or required by law:

 Subscription fees are non-refundable;

 No refunds are provided for unused time, non-use, or voluntary cancellation.

8. Privacy & Data Protection

DocBridge collects and processes personal information in accordance with its Privacy Policy, which is incorporated by reference into this Agreement.

We may collect:

 Contact and account information;

 Billing and payment details;

 Platform usage data.

DocBridge does not provide healthcare services and does not maintain medical records as a provider. To the extent any information may be considered sensitive, we apply reasonable administrative, technical, and organizational safeguards. However, no system is completely secure.

9. Emergency Situations

DocBridge is not designed for emergency care. If you believe you are experiencing a medical emergency, call 911 or your local emergency number immediately.

10. Third-Party Content & Services

The Platform may include links or references to third-party websites or services. DocBridge does not control or endorse third-party content and is not responsible for third-party practices, policies, or services.

11. Disclaimer of Warranties

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE PLATFORM AND ALL CONTENT AND SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, DOCBRIDGE SHALL NOT BE LIABLE FOR:

 ANY MEDICAL CARE PROVIDED BY A PROVIDER;

 INDIRECT, INCIDENTAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES;

 LOSS OF DATA, REVENUE, OR BUSINESS OPPORTUNITIES.

DOCBRIDGE’S TOTAL LIABILITY, IF ANY, SHALL NOT EXCEED THE AMOUNT YOU PAID TO DOCBRIDGE IN THE THREE (3) MONTHS PRECEDING THE CLAIM.

13. Indemnification

You agree to indemnify and hold harmless DocBridge and its officers, directors, employees, and agents from any claims, damages, or expenses arising out of:

 Your use of the Platform;

 Your interaction with any provider;

 Your violation of this Agreement.

14. Governing Law & Venue

This Agreement is governed by the laws of the State of [Insert State], without regard to conflict-of-law principles. Any dispute shall be brought exclusively in the state or federal courts located in [Insert County/State].

15. Changes to This Agreement

We may update this Agreement from time to time. The revised version will be posted with a new “Last Updated” date. Continued use of the Platform constitutes acceptance of the updated Agreement.
